This Affiliate Agreement ("Agreement") is entered into between A2Z Affiliates, a division of the Global Word Network ("Company," "we," "us"), and you ("Affiliate," "you," "your"). By registering for or participating in the A2Z Affiliates program, you agree to be bound by these terms.
1.1. To enroll in the A2Z Affiliates program, you must complete the registration form with accurate and complete information. You must be at least 18 years of age to participate.
1.2. We reserve the right to accept or reject any application at our sole discretion. We may also terminate your participation at any time for any reason, with or without cause.
1.3. You may only maintain one affiliate account. Multiple accounts operated by the same individual or entity will be consolidated or terminated.
1.4. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.1. Upon approval, you will receive unique affiliate tracking links for use in promoting GWN network sites. These links contain your unique affiliate identifier and are the sole mechanism for tracking referrals and attributing commissions.
2.2. You must use only the affiliate links provided through your dashboard. Modifying, cloaking (except for aesthetic URL shortening that preserves tracking), or tampering with affiliate links in any way that interferes with tracking is prohibited.
2.3. We use cookies to track referrals. Cookie durations vary by tier: Basic (30 days), Pro (60 days), Elite (90 days). The last-click attribution model is used for commission assignment.
3.1. Commission rates are determined by your affiliate tier and the specific program you are promoting. Current base rates are:
3.2. Individual programs may have different base commission rates, which are clearly displayed on the Programs page and in your dashboard.
3.3. We reserve the right to modify commission rates with 30 days' written notice. Changes will not apply retroactively to already-earned commissions.
3.4. Commissions are earned when a referred user completes a qualifying action as defined by the specific program (e.g., ad impression milestones, premium subscription purchase, or other defined conversion events).
4.1. Commissions are calculated on a monthly basis and paid on the 1st of the following month for the previous month's earnings.
4.2. Minimum payout thresholds: $50 for PayPal, $100 for bank transfer (ACH/wire). Unpaid balances below the threshold roll over to subsequent months.
4.3. Payments are made in USD. For bank transfers, EUR and GBP options are available at the prevailing exchange rate at time of payment.
4.4. You are responsible for providing accurate payment information. We are not responsible for failed payments due to incorrect information provided by you.
4.5. You are solely responsible for any taxes owed on your affiliate earnings. We may require tax documentation (W-9 for US affiliates, W-8BEN for international) before processing payments exceeding $600 in a calendar year.
4.6. We reserve the right to withhold or reverse commissions resulting from fraudulent, invalid, or refunded transactions.
5.1. Permitted Methods: You may promote GWN sites through your website, blog, social media accounts, email newsletters (to your own opted-in subscribers), video content, podcast content, and legitimate paid advertising (subject to Section 5.2 restrictions).
5.2. Prohibited Methods: The following promotional methods are strictly prohibited:
5.3. FTC Disclosure: You must comply with all applicable laws and regulations, including FTC guidelines requiring clear disclosure of your affiliate relationship. Every page, post, or communication containing affiliate links must include a visible disclosure statement.
6.1. We grant you a limited, non-exclusive, non-transferable license to use GWN trademarks, logos, and approved creative materials solely for the purpose of promoting GWN sites through the affiliate program.
6.2. You may not modify, alter, or create derivative works from our trademarks or creative materials without written permission.
6.3. All intellectual property rights in GWN sites, content, and materials remain exclusively with the Company.
6.4. Upon termination of your affiliate account, you must immediately cease all use of GWN trademarks and creative materials.
7.1. Tier upgrades are automatic and based on your rolling monthly referral count. Tier status is reviewed on the 1st of each month.
7.2. To maintain a tier level, you must meet the minimum referral threshold for 2 consecutive months. Failing to meet the threshold for 2 consecutive months will result in a tier downgrade.
7.3. Elite tier affiliates receive a dedicated affiliate manager, custom creative assets, and priority support in addition to the highest commission rate and longest cookie duration.
8.1. This Agreement begins upon your enrollment and continues until terminated by either party.
8.2. Either party may terminate this Agreement at any time, for any reason, with written notice via email.
8.3. We may immediately terminate your account without notice if you violate any term of this Agreement, engage in fraud, or use prohibited promotional methods.
8.4. Upon termination, you will receive payment for legitimately earned commissions up to the termination date, subject to normal payment schedules and minimum thresholds.
8.5. If termination is due to fraud or violation of prohibited methods, all unpaid commissions are forfeited.
9.1. The affiliate program is provided "as is" without warranties of any kind, express or implied.
9.2. We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the affiliate program.
9.3. Our total liability to you shall not exceed the total commissions paid to you in the 12 months preceding the event giving rise to the claim.
9.4. We are not responsible for technical issues, tracking failures, or downtime that may temporarily affect commission tracking.
10.1. You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from your participation in the affiliate program, your promotional activities, or your violation of this Agreement.
11.1. You agree to keep confidential all non-public information related to the affiliate program, including commission rates, conversion data, and any communications from the Company marked as confidential.
11.2. You may publicly state that you participate in the A2Z Affiliates program and disclose your affiliate relationship as required by law.
12.1. We reserve the right to modify these terms at any time. Material changes will be communicated via email or dashboard notification at least 30 days before taking effect.
12.2. Your continued participation in the program after changes take effect constitutes acceptance of the modified terms.
13.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflicts of law principles.
13.2. Any disputes arising from this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
14.1. This Agreement constitutes the entire agreement between you and the Company regarding the affiliate program and supersedes all prior agreements and understandings.
14.2. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
14.3. Our failure to enforce any provision of this Agreement shall not constitute a waiver of that provision.
14.4. You may not assign or transfer your rights or obligations under this Agreement without our prior written consent.
